These Terms and Conditions of Use (“Agreement”) is a legal and enforceable agreement between you (“User” or “Client”) and Agile Leadership Journey, LLC (“ALJ”) for the use of this website along with any associated software applications and other services provided (“Services”). By registering for any Service provided on the ALJ Website you become a client (“Client”) and you agree to be bound by all of the terms (the “Terms”) set forth in this Agreement as long as you remain a Client. 

IF YOU DO NOT AGREE TO THE TERMS, PLEASE DO NOT REGISTER FOR ANY ALJ WEBSITE SERVICE. The Terms are subject to change at any time, effective upon notice to you.

BY CLICKING THE “I AGREE”, "SIGN UP" OR "LOGIN" BUTTON, YOU AGREE THAT YOU HAVE READ, UNDERSTAND AND AGREE TO BE BOUND BY THE TERMS. THE MOST CURRENT VERSION OF THE TERMS, WHICH SUPERSEDES ALL PREVIOUS VERSIONS, CAN BE REVIEWED BY GOING TO HTTPS://WWW.AGILELEADERSHIPJOURNEY.COM/WEBSITE-TERMS-AND-CONDITIONS. ALJ WEBSITE RESERVES THE RIGHT TO CHANGE THE TERMS AT ANY TIME AND WITHOUT NOTICE TO YOU.

1. Registration and Access. You must be at least 18 years old, or the minimum age required in your country to consent to use the Services. You must provide accurate and complete information to register for an account to use our Services. You may not share your account credentials or make your account available to anyone else and are responsible for all activities that occur under your account. If you create an account or use the Services on behalf of another person or entity, you must have the authority to accept these Terms on their behalf.
2. ALJ may provide Services directly or indirectly through a third-party service provider. Additional registration for third-party services may be required and use of such services may be subject to additional terms and conditions.
3. Certain services marked as “Experimental” or “Beta Testing” or “In Development” (“Test Services”) may be provided by ALJ or its partners. Such Test Services are provided without warranty and are provided as “as-is/where-is” to registered Users.
4. Furthermore, you acknowledge and agree that: (a) the Catalyst Coach Generative AI Bot (“Cici Bot”) is not an official product and has not been commercially released for sale by ALJ; (b) the Cici Bot may not operate properly, be in final form or fully functional; (c) the Cici Bot may contain errors, design flaws or other problems; (d) it may not be possible to make the Cici Bot fully functional; (e) the information obtained using the Cici Bot may not be accurate and may not accurately correspond to information extracted from any database or other source; (f) use of the Cici Bot may result in unexpected results, loss of data or communications, project delays or other unpredictable damage or loss; (g) ALJ is under no obligation to release a commercial version of the Cici Bot; and (h) ALJ has the right unilaterally to abandon development of the Cici Bot, at any time and without any obligation or liability to you.
5. Limitations of Liability and Indemnification. By using any services provided by the ALJ Website, you agree that in no event will the ALJ Website, ALJ, its and their officers, employees, agents, affiliates, licensees and web hosting services be liable for any direct or indirect, incidental, special or consequential damages as a result of your accessing the website and using any of the services available. Your sole remedy for any breach or default of this Agreement by the ALJ Website or ALJ shall be a return of any fees paid to the ALJ Website or ALJ for any services provided under this Agreement. You indemnify and agree to defend and hold harmless the ALJ Website, ALJ, its and their officers, employees, agents, affiliates, licensees and web hosting services and third parties for any losses, costs, liabilities and expenses (including but not limited to court costs, legal fees, awards or settlements) relating to or arising out of your use of the ALJ Website, including any breach by you of the Terms contained in this Agreement.
6. Responsibility for Use of Website. You understand and agree that you are solely responsible for your actions and decisions to meet other people who you meet online by virtue of the services provided on the ALJ Website. You understand that the ALJ Website and ALJ do not perform psychological testing or background checks on the individuals who may use the the ALJ Website services. 
7. You understand and agree that you must take all reasonable precautions before meeting others through the service provided by the ALJ Website, which includes, but is not limited to: exchanging e-mail first before giving out any personal information and meeting in a public place.
8. You may not use our Services for any illegal, harmful, or abusive activity. For example, you may not:
9. Use our Services in a way that infringes, misappropriates or violates anyone’s rights.
10. Modify, copy, lease, sell or distribute any of our Services.
11. Attempt to or assist anyone to reverse engineer, decompile or discover the source code or underlying components of our Services, including our models, algorithms, or systems (except to the extent this restriction is prohibited by applicable law).
12. Automatically or programmatically extract data or Output (defined below).
13. Represent that Output was human-generated when it was not.
14. Interfere with or disrupt our Services, including circumvent any rate limits or restrictions or bypass any protective measures or safety mitigations we put on our Services.
15. Use Output to develop models that compete with Cici Bot.
16. Do Not Rely on the ALJ Website. Opinions, advice, statements or other comments should not necessarily be relied upon and are not to be construed as professional advice from the ALJ Website or ALJ. the ALJ Website and ALJ do not guarantee the accuracy or completeness of any of the information provided, and are not responsible for any loss resulting from your reliance on such information.
17. Termination and Suspension. You are free to stop using our Services at any time. We reserve the right to suspend or terminate your access to our Services or delete your account if we determine: (a) you breached this Agreement or our Privacy Policy; (b) we must do so to comply with the law; or (c) your use of our Services could cause risk or harm to our users, or anyone else.
18. Warning re: Offensive Information. It is possible that other the ALJ Website clients will post or send obscene or offensive materials on the site or to you via e-mail. It is also possible that by using your e-mail address, other people may, through other means outside the control of the ALJ Website, have access to personal information about you. the ALJ Website, ALJ, its employees, agents, affiliates, licensees and web hosting services are not responsible for these transmissions or for the release of such information by others about you.
19. Right to Monitor. the ALJ Website and ALJ reserve the right, but are not obligated, to monitor materials posted in any public area and shall have the right to remove any information deemed offensive by our staff. Notwithstanding the foregoing, you remain solely responsible for your use of any information contained on the site.
20. Confidentiality. You agree to keep confidential and not disclose, discuss, or reproduce information to any third party related to: (a) the ALJ Website and ALJ’s materials that are not publicly accessible; (b) the Output; (c) development or marketing plans that you learn about as part of your use of Services; and (d) verbal or written communications from ALJ’s employees, agents, contractors or other representatives regarding the ALJ Website and ALJ’s materials and Services. The confidentiality requirements continue until all of the above become publicly known.
21. It is agreed that all personal information given to the ALJ Website or ALJ, will be kept confidential by the ALJ Website and ALJ, with the following exceptions: (1) basic biographical information will be posted with your user ID for others to view; (2) you actively chose to post your personal information for others to see; (3) you send a message to another client, which will disclose your e-mail address to that client or (4) you have harassed another person via any service provided by the ALJ Website, in which case the confidentiality clause contained in this Agreement is rendered null and void.
22. Ownership, Copyrights, Trademarks, Licenses. the ALJ Website and ALJ own and retain all proprietary rights to the the ALJ Website service, its trademarks and copyrights. Except for any information that is in the public domain, you are not authorized to reproduce, transmit or distribute the proprietary information of the ALJ Website and ALJ. By posting information to the ALJ Website and ALJ you represent that you have the right to grant permission for use by the ALJ Website and ALJ.
23. ALJ may request feedback regarding the operation or use of Services. Any feedback, ideas, modifications, suggestions, improvements and the like (“Supportive Information”) provided by you during and after use of Services will be the sole property of ALJ. You agree to assign, and hereby assigns, all worldwide right, title and interest in the Supportive Information and the related intellectual property rights to ALJ.
24. No Warranties. the ALJ Website and ALJ provide the the ALJ Website services on an “as is” basis and do not make any warranty, express, implied, limited or other with respect to the services provided. Specifically, the ALJ Website and ALJ do not warrant that the service will always be available, be uninterrupted, be error free, meet your requirements, or that any defects in the services will be corrected.
25. You may provide input to the Services (“Input”), and receive output from the Services based on the Input (“Output”). Input and Output are collectively “Content.” You represent and warrant that you have all rights, licenses, and permissions needed to provide Input to our Services.
26. Similarity of Content. Due to the nature of our Services and artificial intelligence generally, Output may not be unique and other users may receive similar Output from our Services. 
27. Our Use of Content. We may use and store Content to provide, maintain, develop, and improve our Services, comply with applicable law, enforce our terms and policies, and keep our Services safe.
28. Accuracy. Artificial intelligence and machine learning are rapidly evolving fields of study. We are constantly working to improve our Services to make them more accurate, reliable, safe, and beneficial. Given the probabilistic nature of machine learning, use of our Services may, in some situations, result in Output that does not accurately reflect real people, places, or facts.
29. Jurisdiction. This Agreement or any dispute arising from this Agreement is governed by the laws of Colorado, without regard to provisions of conflicts of law. Any lawsuit arising from or related to this Agreement shall be brought exclusively before the United States District Court for the District of Colorado, and you hereby consent to the jurisdiction of any such court.
30. Severability. If any provision is found to be invalid, the remaining provisions will be in full force and effect.
31. Assignment. You may not assign or transfer any rights or obligations under this Agreement and any attempt to do so will be void. ALJ may assign our rights or obligations under these Agreement to any affiliate, subsidiary, or successor in interest of any business associated with our Services.
32. Certification. You certify that you are at least 18 years of age and that your answers to the registration materials on the ALJ Website will be truthful. In accessing and using the ALJ Website, you understand and agree that basic information concerning you, given to the ALJ Website, will be published on the web-site for others to view along with your User ID. Your name, address and e-mail address are kept confidential, except where provided above.
33. Entire Agreement. This Agreement constitutes your entire Agreement with the ALJ Website and ALJ with respect to any services.
34. Waiver. The failure of Website or ALJ to exercise or enforce any right or provision of this Agreement shall not operate as a waiver of such right or provision. Any waiver of this Agreement by Website or ALJ must be in writing and signed by an authorized representative of the ALJ.
